Founding 500 Vendor Program Terms
WEDZIE FOUNDING 500 VENDOR PROGRAM TERMS

These Founding 500 Vendor Program Terms (“Founding Vendor Terms”) govern participation in the Wedzie Founding 500 Vendor Program (“Program”) offered by Wedzie Inc. (“Wedzie,” “we,” “us,” or “our”).
By participating in the Program, vendors agree to these Founding Vendor Terms, together with Wedzie’s applicable vendor agreements, Terms & Conditions, Privacy Policy, and other applicable policies.
1. Program Eligibility
The Founding 500 Vendor Program is available to the first 500 eligible vendors accepted into the Program by Wedzie.
To qualify as a Founding Vendor, a vendor must:
Founding Vendor status is subject to availability within the first 500 eligible vendor positions.
Wedzie may reject duplicate, fraudulent, incomplete, or otherwise ineligible accounts when determining the first 500 eligible Founding Vendors. Founding Vendor positions, eligibility, and pricing benefits (including the 10-year price lock) are tracked and administered by Wedzie manually and at its discretion.
2. Founding Vendor Benefits
Eligible Founding Vendors receive the following benefits:
Unless expressly stated otherwise, Founding Vendor benefits have no cash value and cannot be transferred, sold, exchanged, or assigned to another person or business.
3. Complimentary Period and First Paid Year
The Founding Vendor promotion begins with three (3) complimentary months of the Standard Subscription Plan.
Following the complimentary period, the Founding Vendor will receive 50% off their first paid year of the Standard Subscription Plan, resulting in a subscription price of $120 CAD plus applicable tax.
Unless cancelled in accordance with the applicable subscription terms, the Standard Subscription Plan will automatically continue in accordance with its applicable billing and renewal terms.
The three-month complimentary period and first-year promotional price are available once per eligible Founding Vendor account and cannot be restarted, extended, or repeated if the subscription is cancelled.
4. 10-Year Price Lock
Founding Vendors are eligible for a 10-year price lock at $240 CAD plus applicable tax per year for the Wedzie Standard Subscription Plan.
The 10-year price-lock period begins on the date the Founding Vendor initially enrols in the Standard Subscription Plan, including the three-month complimentary period.
During the applicable 10-year period, Wedzie will not charge an eligible Founding Vendor more than $240 CAD plus applicable tax per year for the Standard Subscription Plan covered by the price lock.
The price lock applies only to the Standard Subscription Plan. It does not apply to optional upgrades, premium listings, advertising, promotional services, transaction or service fees, payment processing fees, additional products or services, or other features that may be offered separately by Wedzie.
The price lock does not guarantee that the Standard Subscription Plan, Wedzie platform, features, or services will remain unchanged during the 10-year period.
5. Maintaining Founding Vendor Status and Price Lock
Founding Vendor benefits, including the 10-year price lock, are associated with the eligible vendor account and business that originally qualified for the Program.
To maintain the 10-year price lock and applicable Founding Vendor pricing benefits, the vendor must maintain a continuous active Standard Subscription Plan following the complimentary period.
If the vendor cancels their subscription, allows the subscription to expire, fails to make a required payment, or otherwise ceases to maintain an active Standard Subscription Plan, the price lock and any remaining Founding Vendor subscription pricing benefits will end.
If the vendor later returns to Wedzie or purchases a new subscription, Founding Vendor promotional pricing and the 10-year price lock will not be reinstated. The vendor will be subject to the subscription pricing and terms in effect at the time they return.
Founding Vendor status and benefits may not be transferred to another vendor account or unrelated business.
6. Cancellation
Founding Vendors may cancel their Standard Subscription Plan in accordance with Wedzie’s applicable subscription terms.
Cancellation will take effect in accordance with those terms and does not entitle the vendor to a refund of subscription fees already paid unless otherwise required by law.
Cancellation during the complimentary period or at any later time will result in the loss of any unused or future Founding Vendor promotional pricing and price-lock benefits once the subscription ends.
If a former Founding Vendor subsequently returns to Wedzie, the Founding Vendor promotional pricing and price lock will not be reinstated.
7. Additional Founding Vendor Benefits
Wedzie may, from time to time, offer Founding Vendors additional benefits, promotions, opportunities, recognition, features, or other incentives.
Unless Wedzie expressly states otherwise in writing, these additional benefits are discretionary, may be subject to separate eligibility requirements or terms, and may be modified or discontinued at any time.
Participation as a Founding Vendor does not guarantee access to any future benefit, feature, promotion, advertising opportunity, or other incentive that is not expressly included in these Founding Vendor Terms.
8. Feedback and Participation
Wedzie may invite Founding Vendors to provide feedback, participate in surveys, test features, or otherwise provide input regarding the Wedzie platform.
Participation is voluntary and is not required to maintain Founding Vendor status unless expressly stated otherwise for a particular opportunity.
Providing feedback does not create any ownership interest in Wedzie, the Wedzie platform, or any feature, product, or service developed by Wedzie.
9. Misuse and Ineligible Accounts
Wedzie may deny, suspend, or revoke Founding Vendor benefits where Wedzie reasonably determines that:
Founding Vendor positions obtained through fraudulent, duplicate, or otherwise ineligible accounts will not count toward the 500 eligible Founding Vendor positions.
10. Changes to the Program
Wedzie may modify or discontinue the Founding 500 Vendor Program for vendors who have not yet qualified for and secured Founding Vendor status.
Once an eligible vendor has secured Founding Vendor status, the core promotional benefits expressly granted under these Founding Vendor Terms — including the three complimentary months of the Standard Subscription Plan, 50% off the first paid year of the Standard Subscription Plan, and eligible 10-year price lock — will remain subject to these Terms.
Wedzie may modify the Program’s administrative processes, optional benefits, features, or other aspects of the Program that do not materially alter those core promotional benefits.
11. Relationship to Other Wedzie Terms
Participation in the Founding 500 Vendor Program is also subject to Wedzie’s applicable Terms & Conditions, Standard Subscription Vendor Agreement, Privacy Policy, and other applicable policies.
These Founding Vendor Terms govern specifically with respect to the promotional benefits provided through the Founding 500 Vendor Program.
If there is a conflict between these Founding Vendor Terms and another Wedzie agreement specifically concerning a Founding 500 promotional benefit, these Founding Vendor Terms will govern with respect to that benefit.
